1. Introduction and acceptance

These Terms of Service ("Terms") are a binding agreement between you and Algo Investments LLC, a Wyoming limited liability company ("Algo Investments," "we," "us," or "our"). They govern your access to and use of algo.investments, including its public website, authenticated application, research, data, indicators, models, charts, text, software, and related services (together, the "Service"). The information and materials made available through the Service are referred to as "Content."

By accessing or using the Service, creating an account, or purchasing Full Access, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You may not use the Service where doing so would violate applicable law. By using the Service, you represent that you meet these requirements.

3. Accounts

You must provide accurate and current account information. Your account is personal to you. You may not sell, transfer, share, or permit another person to use it. You are responsible for protecting your login credentials and for activity under your account. Notify us promptly through our contact page if you suspect unauthorized access or another security problem.

We may rely on instructions submitted through your account. We are not responsible for losses caused by unauthorized account access resulting from your failure to protect your credentials, except to the extent applicable law provides otherwise.

4. Free accounts and Full Access

A Free account provides access to the free catalog and any previews we choose to make available. Preview availability and the Content included in the free catalog may change at any time.

A paid subscription provides access to the Content identified as "Full Access" during the active subscription period. Full Access does not include private or internal materials, separately sold products, or future products unless we expressly state otherwise. We may add, remove, replace, or modify Content as described in Section 14.

5. Checkout and Polar

We use Polar to offer and administer paid subscriptions. Polar acts as the merchant of record and authorized reseller for purchases made through its checkout. Your purchase is also subject to the Polar Buyer Terms and Polar Privacy Policy presented or linked at checkout.

Polar processes payment, billing, applicable taxes, invoices, and refunds. The product, billing interval, currency, taxes, renewal date, and final price shown at checkout control your purchase. If these Terms conflict with Polar's checkout terms on a payment, tax, billing, or refund matter handled by Polar, Polar's checkout terms control that matter.

6. Monthly and annual subscriptions

Full Access may be offered as a monthly or annual subscription. Each subscription renews automatically for another period of the same length until canceled. By purchasing a subscription, you authorize Polar to charge the payment method provided at checkout for the initial period and each renewal, including applicable taxes.

Unless the checkout states otherwise, the base price of an annual subscription provides 12 months of access for the price of 10 monthly payments at the monthly price then in effect. The final price shown at checkout controls and may reflect currency, taxes, discounts, promotions, or price changes.

We may change subscription prices prospectively. A price change does not alter an already paid billing period. Where required, notice of a renewal price change will be provided before the change takes effect. You may cancel before the next renewal if you do not accept the new price.

7. Cancellation and failed payments

You may cancel through the Polar customer portal linked from your account or purchase confirmation. Unless applicable law or the checkout terms state otherwise, cancellation takes effect at the end of the current paid billing period. You retain Full Access until then, after which your account reverts to Free. Canceling a subscription does not delete your account.

If a payment fails, Polar may retry the charge, request an updated payment method, or take other payment-recovery steps permitted by its terms. We may suspend or end Full Access if payment remains unpaid.

8. Refunds

Elapsed billing periods are non-refundable, except where applicable law requires a refund or the purchased Service was not provided. Polar evaluates and processes refund requests under its checkout terms and applicable law. Contact Polar through your order receipt or customer portal to request a refund. Canceling a subscription or deleting an account does not by itself create a right to a refund.

9. License and permitted use

Subject to these Terms, we grant you a limited, personal, noncommercial, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your own research and education.

You may share screenshots or short excerpts of Content that is available to the public if you clearly attribute Algo Investments, link to the original page when practical, preserve copyright and other notices, and do not present the material in a misleading way. You may not share, publish, distribute, sell, license, or otherwise provide third parties with Full Access Content, paid datasets, substantial model output, or bulk exports without our prior written permission.

10. Prohibited use

You may not, directly or through another person or system:

• share an account or bypass an access, payment, rate, or security control;
• scrape, crawl, harvest, systematically download, or use automated means to extract Content except as expressly permitted in writing;
• copy, republish, distribute, resell, sublicense, or commercially exploit the Service or Content except as allowed in Section 9;
• use the Service or Content to build, benchmark, market, or improve a competing product or service;
• use the Service or Content to train, fine-tune, evaluate, validate, or supply a machine learning or artificial intelligence model or dataset;
• reverse engineer, decompile, disassemble, or attempt to discover source code, model logic, or non-public methods, except where applicable law does not permit that restriction;
• remove or obscure ownership, attribution, or rights notices;
• interfere with the Service, introduce malicious code, overload infrastructure, probe for vulnerabilities, or access systems or data without authorization; or
• use the Service unlawfully, infringe another person's rights, or misrepresent the source, meaning, or performance of Content.

11. Ownership, third-party rights, and feedback

The Service and our original software, models, indicators, calculations, text, graphics, design, organization, and presentation are owned by Algo Investments or its licensors and are protected by intellectual property and other laws. Except for the limited license in Section 9, these Terms grant you no right, title, or interest in the Service or Content.

Some Content incorporates or depends on market data, software, names, trademarks, or other materials owned by third parties. Those materials remain subject to their owners' rights and applicable terms. No display of third-party material transfers ownership to you or to us.

If you voluntarily submit feedback about the Service, you grant Algo Investments a worldwide, perpetual, irrevocable, royalty-free, and sublicensable license to use and incorporate that feedback when operating or improving the Service. This license applies only to feedback about the Service. It does not transfer ownership of separately identified trading strategies, software, datasets, or other proprietary materials. Do not submit information that you must keep confidential.

12. Educational purpose and investment responsibility

The Service provides general educational and market research information. It does not provide personalized investment, financial, legal, tax, or accounting advice. Algo Investments is not an investment adviser, broker, dealer, exchange, custodian, fiduciary, or asset manager. We do not execute trades, hold customer assets, or manage money.

Nothing in the Service is an offer or solicitation to buy or sell an asset, a trade instruction, a guarantee of results, or a recommendation that any investment, strategy, or transaction is suitable for you. References to assets, strategies, market conditions, or possible outcomes do not constitute endorsements.

The Service does not use your holdings, financial situation, risk tolerance, investment objectives, tax status, or other personal circumstances to tailor Content. Selecting a ticker, asset, date range, or display setting changes the market information shown and does not create a personalized recommendation. Support responses explain the Service and do not provide investment advice.

You are solely responsible for your investment decisions, research, risk assessment, and use of the Content. Investing and trading can result in the loss of some or all invested capital. Consult qualified professionals about your circumstances when appropriate.

13. Market data, models, and performance information

Market data and related information may be delayed, incomplete, inaccurate, revised, or unavailable. Models, indicators, calculations, classifications, and visualizations depend on assumptions, selected inputs, and methods that may change. We do not guarantee that Content is accurate, complete, current, or suitable for a particular purpose.

Historical, backtested, hypothetical, simulated, and model-based results do not guarantee future results. Unless expressly disclosed, results may not account for fees, taxes, bid-ask spreads, slippage, liquidity constraints, market impact, or execution differences. Actual results may differ materially. You should verify information independently before relying on it.

14. Availability and changes to the Service

We may add, modify, correct, restrict, suspend, or discontinue any part of the Service or Content. We may perform maintenance and may impose reasonable technical or usage limits. We do not guarantee continuous, secure, or error-free availability, or that defects will be corrected. Where reasonably practical, we will provide notice before a material change that substantially reduces an active paid subscription.

15. Third-party services and links

The Service may depend on or link to third-party services, data providers, websites, and software. We do not control those third parties and are not responsible for their content, availability, security, accuracy, or practices. Your use of a third-party service is subject to its terms and policies. A link or integration does not imply endorsement.

16. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. Polar separately determines how it handles information collected directly through its checkout and customer portal.

17. Suspension and termination

We may restrict, suspend, or terminate access to all or part of the Service if we reasonably believe that you breached these Terms, created a security or legal risk, failed to pay an amount due, abused a refund or chargeback process, engaged in fraud, or used the Service in a way that may harm us, another user, or a third party. We may act immediately when reasonably necessary to protect the Service, users, rights, or legal compliance.

You may stop using the Service at any time. To request account deletion, use our contact page. Subscription cancellation is governed by Section 7. Sections that by their nature should survive termination, including Sections 8 through 13 and 17 through 24, remain effective after access ends.

18. Disclaimer of warranties

To the fullest extent permitted by law, the Service and Content are provided "as is" and "as available." Algo Investments and its suppliers disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and results. We do not warrant that the Service will meet your requirements or that its operation or Content will be uninterrupted, timely, secure, complete, or error-free.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law, and any required warranty is limited to the shortest period permitted by law.

19. Limitation of liability

To the fullest extent permitted by law, Algo Investments and its members, managers, employees, contractors, licensors, suppliers, and affiliates will not be liable for investment or trading losses; loss of profits, revenue, data, opportunity, goodwill, or anticipated savings; or indirect, incidental, special, exemplary, punitive, or consequential damages.

These exclusions apply to losses arising from or related to the Service, Content, investment decisions, data or model errors, outages, security incidents, third-party services, or unauthorized account access resulting from your failure to protect your credentials, whether the claim is based in contract, tort, statute, strict liability, or another theory, and even if we were advised that the loss was possible.

To the fullest extent permitted by law, the total liability of Algo Investments and the other parties listed above for all claims arising from or related to the Service or these Terms will not exceed the greater of US$100 or the amount you paid for access to the Service during the 12 months before the event giving rise to the claim.

These limitations do not exclude or limit liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer protections remain in effect.

20. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Algo Investments and its members, managers, employees, contractors, and affiliates from third-party claims, damages, judgments, liabilities, costs, and reasonable legal fees arising from your unlawful use of the Service, material breach of these Terms, infringement of another person's rights, or unauthorized copying, publication, or distribution of Content. We may control the defense of a covered claim, and you will reasonably cooperate. You may not settle a claim in a way that admits fault by or imposes an obligation on an indemnified party without our written consent. This section does not apply to the extent prohibited by mandatory consumer law.

21. Governing law and disputes

These Terms and any dispute arising from or related to them or the Service are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Before filing a claim, the party seeking relief must send the other party a written description of the dispute and requested relief and allow 30 days for a good-faith effort to resolve it. Notices to Algo Investments must be sent through our contact page. This requirement does not prevent either party from seeking urgent temporary or injunctive relief when needed to prevent immediate or irreparable harm.

Except where applicable law gives you a non-waivable right to another forum, the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from or related to these Terms or the Service, and each party consents to those courts. If you are a consumer, mandatory protections and jurisdiction rights under the law of your place of residence remain in effect.

22. Changes to these Terms

We may update these Terms as the Service or applicable requirements change. We will post the revised Terms and update the date at the top. Where required by law, we will provide additional notice of material changes. Changes apply prospectively from their stated effective date.

Your continued use of the Service after revised Terms take effect means that you accept them. If you do not accept a change, you must stop using the Service and may cancel a subscription before its next renewal.

23. General terms

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of all or part of the Service.

We are not liable for delay or failure caused by circumstances beyond our reasonable control, including internet or utility failures, provider outages, labor disputes, natural disasters, war, civil unrest, government action, or failures of data or infrastructure providers.

If a provision of these Terms is found unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and the terms presented by Polar at checkout form the entire agreement regarding the Service and replace prior agreements or communications on the same subject.
